License Agreement

This License Agreement governs your use of the Totot.ae platform, including access to our website, services, and any related applications. By accessing or using the platform, you agree to comply with the terms outlined in this agreement as governed by UAE Federal Law No. 5 of 1985 (Civil Code) and related UAE regulations.

 

🇦🇪 UAE-Specific Legal Framework

  • Governing Law: This agreement is governed by and construed in accordance with the laws of the United Arab Emirates.
  • Jurisdiction: Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
  • Regulatory Compliance: This agreement complies with:
    • UAE Federal Decree-Law No. 15 of 2020 (Consumer Protection Law)
    • UAE Federal Decree-Law No. 45 of 2021 (Personal Data Protection Law – PDPL)
    • UAE E-Commerce Law (Federal Decree-Law No. 46 of 2021)

🔑 License Grant

Totot grants you a non-exclusive, non-transferable, revocable license to access and use the platform for personal and commercial purposes in compliance with this agreement and UAE laws.

 

Permitted Uses

  • Browsing product listings and placing orders within UAE
  • Creating a personal account for order management
  • Accessing customer support services via approved channels
 

Prohibited Activities

  • Data Scraping: Using automated tools to extract product/pricing data (violation of UAE Cybercrime Law No. 34 of 2021)
  • Account Sharing: Allowing others to use your account credentials (violation of UAE PDPL Article 13)
  • Price Manipulation: Using bots or scripts to artificially affect pricing or availability
  • Content Reproduction: Copying product descriptions, images, or site design elements without written permission
 

⚖️ User Responsibilities

Account Integrity

  • Maintain accurate UAE contact information (address, phone number, Emirates ID)
  • Use strong passwords and enable two-factor authentication where available
  • Immediately report unauthorized account access via WhatsApp: +971 56 633 7279
 

Transaction Compliance

  • Verify order details before confirming payment
  • Provide accurate delivery address within UAE service areas
  • Comply with UAE customs regulations for any approved international shipping (none currently offered)
 

Intellectual Property

  • Respect all trademarks, copyrights, and proprietary rights of Totot and its suppliers
  • Do not reproduce, distribute, or create derivative works from platform content
  • Report suspected IP infringement to  support@totot.ae  within 24 hours of discovery
 

🛡️ Data Protection & Privacy

    • Data Processing: Your personal data is processed in compliance with UAE PDPL Article 5
    • Cross-Border Transfers: No personal data is transferred outside UAE except for:
      • Payment processing via Stripe under UAE Central Bank Circular 14 of 2021
      • Shipping data shared with Aramex UAE for delivery purposes
    • Data Subject Rights: Exercise your UAE data rights by emailing  support@totot.ae  with subject “UAE DATA REQUEST”
    • Retention Period: Account data retained for 5 years after last activity (UAE Commercial Companies Law Article 26)
     

     

    ⚠️ Limitations of Liability

    Our Commitments

    • Platform uptime of 99.5% during UAE business hours (9 AM–10 PM GST)
    • Order accuracy rate of 99.8% for product specifications and pricing
    • 24-hour response time for reported security vulnerabilities
     

    Exclusions

    Totot shall not be liable for:

    • Consequential damages arising from platform downtime (excluding payment processing failures)
    • Price differences resulting from market fluctuations during order processing
    • Delivery delays caused by UAE national holidays, extreme weather, or force majeure events
    • Losses resulting from user negligence (e.g., password sharing, phishing susceptibility)
     

    Maximum Liability

    In no event shall Totot’s total liability exceed the amount paid by you for the specific order giving rise to the claim, or AED 5,000, whichever is greater (per UAE Consumer Protection Law Article 16).

     

     

    🚫 Termination Rights

    By Totot

    We may terminate your access immediately if you:

    • Violate UAE laws or regulations through platform use
    • Attempt to compromise platform security or data integrity
    • Provide false information during registration or transactions
    • Engage in fraudulent payment activities
     

    By You

    You may terminate this agreement by:

     

    Post-Termination Obligations

    • Outstanding payments remain due and collectible
    • Intellectual property rights survive termination
    • Dispute resolution provisions remain enforceable for 3 years
     

     

    🌐 Third-Party Services

    Integrated Providers

    • Stripe: Payment processing governed by UAE Central Bank approved agreements
    • Aramex UAE: Logistics services under UAE Federal Transport Authority regulations
    • Hostinger UAE: Infrastructure hosting compliant with UAE NESA security standards
     

    Limitations

    Totot is not responsible for:

    • Service disruptions from third-party providers (maximum liability limited to AED 1,000 per incident)
    • Changes to third-party terms of service not under our control
    • Data handling practices of third parties beyond our contractual agreements
     

     

    Force Majeure

    Totot shall not be liable for failure to perform obligations due to:

    • UAE national emergencies or security alerts
    • Natural disasters affecting UAE infrastructure (sandstorms, extreme heat events)
    • Government directives requiring service suspension
    • Critical infrastructure failures (power grid, telecommunications networks)
     

    In such events, we will:

    1. Notify affected users within 24 hours via SMS/WhatsApp
    2. Suspend services only for the minimum necessary duration
    3. Prioritize restoration of essential e-commerce functions

    Preferred Resolution Path

    1. Direct Resolution: Contact support@totot.ae or WhatsApp +971 56 633 7279
    2. Mediation: If unresolved within 14 days, mediation through Abu Dhabi Commercial Conciliation Center (ADCCC)
    3. Litigation: As last resort, proceedings in Abu Dhabi courts with UAE-qualified legal counsel
     

    Required Documentation

    For any dispute, you must provide:

    • Original order confirmation with order number
    • Screenshots of relevant platform interactions (with timestamps)
    • UAE contact details for service of legal notices
    • Emirates ID or business license copy for identity verification
